These terms and conditions govern ShoutOut's Partner program (the "partner program") and represent the whole agreement between ShoutOut and the individual or entity (the "affiliate", "partner" or "you") who participates in ShoutOut's partner program.
By joining and becoming an affiliate to ShoutOut, you understand these terms and conditions represent a legally binding agreement between you and ShoutOut. You agree to comply with all the terms and conditions as set out in this agreement.
ShoutOut reserves the right to change any part of this agreement at anytime. You are responsible for reading this document from time to time to ensure you are aware of its content.
Upon joining ShoutOut's partner program we will provide you with a referral link to pass onto potential clients. Any new clients using this referral link will be credited to you as being referred by your efforts and credit you commission if the merchant upgrades to a paid plan based on the criteria in section 3 below.
Recurring Monthly Commission
You are eligible to receive a recurring, monthly commission based on the total number of paying clients that you have referred to ShoutOut where:
We use the following formula to determine your recurring commission payout:
Number of paying clients X (multiplied by) 20% of client payment = PAYOUT TO YOU EACH MONTH
Recurring monthly commission is calculated on the 1st of each month, and paid within the first 7 days of the same month.
You are responsible for issuing a PayPal invoice to us after we provide the total amount we have calculated to be eligible for payment.
ShoutOut hereby grants the affiliate a non-exclusive, non transferable, limited licence to use ShoutOut's logo for the sole purpose of promoting our service within the context of our partner program. This license will expire upon termination of the affiliate's participation in our partner program.
You may use ShoutOut's logo in advertising that portrays ShoutOut in a positive light. We may, without prior notice, require the affiliate to remove our logo and any references to ShoutOut at our sole discretion if we deem such use of our logo as inappropriate.
All marketing activities for you promoting ShoutOut are your sole responsibility and expense. All activities must be professional and in full compliance with all applicable laws.
Where ShoutOut deems your marketing activities to be inappropriate, we reserve the right to ask you to remove such activities, media or correspondence within 48 hours. Failure to do so will result in termination of this agreement and your participation in our partner program.
The affiliate may terminate participation in ShoutOut's partner program by giving us written notice.
Affiliates must refer at least one active client to ShoutOut's partner program every 90 days to be eligible for a monthly payout. Eligibility for payouts is determined on a month by month basis, and if a payout is not eligible it is forfeited. Where no, new active referrals are made for six (6) consecutive months this agreement will be automatically terminated.
ShoutOut reserves the right to terminate the affiliate's participation in the partner program at any time for conduct that is in material breach of this agreement or for conduct that ShoutOut, in its sole discretion, deems to be harmful to its business or any third party.
Upon termination, the affiliate will lose access to their Partner Dashboard and will forfeit all potential or unpaid payouts due.
ShoutOut's partner program is provided on an "as is" and "as available" basis and the use of the partner program is at the affiliate's own risk. ShoutOut makes no representations or warranties, either expressed or implied, with respect to the partner program.
ShoutOut is not responsible for any damages, injury or economic loss arising from the use of ShoutOut's partner program. Should any part of the ShoutOut partner program cause damage or inconvenience to the affiliate or anyone claiming through the affiliate, the affiliate assumes responsibility and the entire cost for them.
The affiliate will indemnify and hold harmless ShoutOut, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the affiliate's or any third party's operations or use of the ShoutOut partner program.
